EU and US Antitrust Arbitration is the first book that deals with how both of the world's leading antitrust systems, US and EU law, are treated in international arbitration. In forty-nine chapters written by renowned experts, this book provides an in-depth examination of all relevant topics, from drafting arbitration clauses, to arbitrability, provisional measures, the applicability of antitrust law in arbitrations, dealing with economic evidence and experts in relation to antitrust law, to relations with courts and regulators, remedies, and recognition and enforcement of arbitration awards dealing with antitrust issues. Both antitrust and merger control are covered. The perspectives of the arbitrator and the in-house andquot;userandquot; of arbitration are included. Two chapters outline and explain US antitrust law and EU antitrust law with special reference to matters particularly likely to arise in arbitration. The major problem associated with the regulation of transnational mergers, which affect several national markets, is the allocation of jurisdiction. Each country concerned may wish to exert jurisdiction and apply its national competition law to regulate the anti-competitive effects a merger may have in its territory. However, this approach may lead to risks of inconsistent decisions regarding the legality of mergers. Indeed, the national competition laws applied by the regulating authorities may diverge in several aspects, which raise the likelihood of inconsistency. Therefore it is desirable to opt for regulatory approaches which are more sensitive to the transnational nature of mergers and which allow cooperation between competition authorities. A possible solution may be bilateral cooperation agreements through which two countries coordinate the enforcement activities of their national competition authorities. However, the benefits of these agreements are enjoyed only by the signatory parties. The sole reliance upon bilateral agreements does not appear to be the optimal regulatory approach towards transnational mergers.

How will the rapid growth of trade, cross-border mergers and acquisitions, and international joint ventures alter antitrust enforcement? Can national antitrust enforcement guard against anticompetitive corporate practices in a globalizing world? Or will international friction increase as nations disagree over antitrust cases, like the Boeing-McDonnell Douglas merger? Recognizing the sheer volume of transatlantic commerce, the EU and U.S. have long cooperated on antitrust matters, but what has that cooperation achieved? And how far should such cooperation go in the future? This volume addresses these questions in the context of antitrust policies towards cartels, mergers and acquisitions, and vertical restraints. Leading experts elucidate the changing nature of antitrust enforcement on both sides of the Atlantic, with a keen eye to future multilateral, as well as bilateral, developments.

The issue of international antitrust enforcement is high on the agenda for both developed and developing countries. Bilateral cooperation between antitrust agencies, in particular the European Commission and US agencies, is the focus of this new work. It first shows how bilateral cooperation was developed as a response to the limits of the unilateral and extraterritorial application of national competition laws, and how it has evolved from an instrument initially designed to avoid conflicts into a tool aimed at coordinating joint investigations of international competition cases. It then considers how bilateral cooperation could be used optimally, by analysing two forms of advanced cooperation: the exchange of confidential information, and positive comity, which is the only satisfactory answer competition law can provide to market access cases. It shows that the use of such instruments is limited by significant legal and political obstacles, even in the context of the exemplary EC US relationship. The book therefore argues that the efficient use of bilateral cooperation will be limited to a small number of well-established competition agencies. If international anticompetitive practices are to be efficiently addressed by an increasingly large and heterogeneous group of competition agencies, horizontal cooperation between antitrust agencies must be complemented by a multilateral and supranational solution going beyond proposals currently put forward. The book concludes that only the WTO and its dispute settlement system could provide the basis for such a system.

Corporate moves towards focused production and outsourcing, governmental reforms involving privatization and deregulation and the globalization of trade and investments promise large efficiency gains. However, the necessary coordination mechanisms call for regulatory approval and policy guidelines to safeguard these undertakings against abuse, which in turn are held up against the test of administrative efficiency and global regulatory competition. The question is: what standard will ultimately inspire policy, satisfy administration and be acceptable to parties inside and outside of a given commercial and economic arrangement? Ralf Boscheck looks to the various approaches of institutional and constitutional economics to complement traditional market models in shaping policies to govern increasingly complex market conditions.
