BOOK EXCERPT:
A timely evaluation of rapidly globalizing governance mechanisms in China and Japan. This book looks at how corporate governance practices in these countries are adapting to Anglo-American practices, but argues that these adaptations are selective, and both countries continue to retain their own local corporate governance practices in some areas.

BOOK EXCERPT:
Challenging simplistic claims that Chinese corporations merely serve Communist Party goals, this book argues we cannot understand these corporations without tracing their dynamic evolution within a unique socio-political ecosystem. Vivid case studies illuminate the strange hybrid structures and networks that are essential for corporate success in the Chinese habitat. Tracing the reciprocal impacts between Chinese corporations and their environment, Colin S. C. Hawes reveals how corporations' political adaptations have raised serious obstacles for their international expansion and worsened China's environmental crisis. Adopting an interdisciplinary approach that synthesizes insights from behavioural economics, science and Chinese philosophy, this book proposes innovative solutions to the damaging impacts of Chinese corporations. It makes a compelling case for redirecting the vital energy of corporations and government officials in more productive and sustainable directions.

BOOK EXCERPT:
Listing by companies from one country on the stock market of another country is a device often used both to raise capital in, and to increase bonding with, the target country. This book examines the listing by Chinese companies on the Hong Kong stock market. It discusses the extent of the phenomenon, compares the two different regulatory regimes, and explores the motivations for the cross-listing. It argues that a key factor, in addition to raising capital and bonding with the Hong Kong market, is Chinese companies’ desire to encourage legal and regulatory reforms along Hong Kong lines in mainland China, in order to develop and open up China’s domestic capital markets.

BOOK EXCERPT:
The multiple and diverse forces of globalization have, indeed, affected Japan significantly over the past decades. But so, it must be said, has Japan influenced a variety of critical global developments - globalization is not a one-way street, particularly for a nation as economically influential and technologically advanced as Japan. The chapters in this collection examine the impact of globalization on Japan and the impact of Japan on the forces of globalization from the various disciplinary perspectives of business, the economy, politics, technology, culture and society. They also explain the manner in which the nation has responded to the economic and cultural liberalization that has been such a profound force for change around the globe. This comprehensive collected works brings the latest research to bear on this important subject and provides evidence of the long history of global influences on Japan – and Japanese impacts on the rest of the world. This book will be of interest to students and scholars of globalization, Japanese Studies, and Asian Studies.

BOOK EXCERPT:
This book examines the nature of the marketization of corporate boards following the introduction of the split share reform, corporate board and shareholder relations, corporate performance, and risk-taking conduct in China. The chapters cover topics such as determinants of corporate board size and independence, corporate risk-taking conduct under different controlling shareholder types. The book deepens our understanding of corporate governance mechanisms as most previous studies have limited their findings using mainstream perspectives grounded on neoclassical theory. It outlines that China’s corporate board composition is determined by the board’s scope of operation, monitoring, bargaining power, and other governance mechanisms and regulations. It also offers a comparison between China’s experience with other economies in general and other transition economies in particular. As such, the book represents an essential overview of the current concerns regarding corporate governance in China. It is of great interest to legal researchers, policymakers, and legal practitioners working with business investments in China.

BOOK EXCERPT:
This book brings together scholars from different disciplines to examine the evolving patterns of economic organisation across Northeast and Southeast Asia against the backdrop of market liberalisation, political changes and periodic economic crises since the 1990s. More specifically, it provides an interdisciplinary account of variations, continuities and changes in the institutional structures that shape business systems and practices and govern innovation patterns, together with analyses of their impact on established systems of economic coordination and control. In line with this analytical focus, the project has three different yet interrelated objectives. In the first place, building on the comparative business systems framework, it elucidates the nature and properties of business system changes and continuities in Asia since the 1990s. Second, it develops novel theoretical propositions concerning the primary causes of these changes and continuities, representing a collective effort to theorise the changing varieties of Asian economic organisation. Finally, it explores the causal pathways through which the changing institutional structures governing business systems have shaped and reshaped innovation strategies and trajectories across the national, sectoral and firm levels of analysis.
