Transnational Corporations and Transnational Governance examines the different kinds of distance-related barriers related to cross-border investment. Different forms of governance, whether inside the firm or as part of its network of external relationships, have the aim of reducing uncertainty and creating a more predictable environment.

This book is the first to explore the issue of corporate governance in China's new corporations. With rapid development over the last two decades, China has seen compelling achievements in overseas investment. Specifically, an increasing number of Chinese companies have been “going out” to become multinational enterprises. From the practical view, corporate governance issues have been identified in the literature as one of the most important factors in determining whether these Chinese multinational enterprises succeed or not. However, existing literature provides little investigation and understanding about corporate governance of Chinese multinational enterprises. This book fills that gap and will be of value to corporate executives, scholars of China's economy, and journalists.

This book explores the challenges and opportunities presented by the formulation of a global code of conduct for transnational corporations. It assesses the current state of research on global regulations intended to enhance the social responsibility of transnational corporations, and provides a platform for future research. In particular the book examines frameworks and instruments for regulating social responsibility, reviews recent developments concerning the proposed UN Code of Conduct on Transnational Corporations, and provides insights into international civil society groups’ movements in pursuit of a code of conduct. In a separate chapter the book discusses theoretical issues in regulating transnational corporations, and investigates their legitimacy and behavioral dynamics. This book investigates governance practiced by non-state actors. It analyses how multinational mining companies protect their sites in fragile contexts and what that tells us about political ordering 'beyond' the state. Based on extensive primary research in the Democratic Republic of Congo, South Africa, Europe and North America, the book compares companies' political role in the 19th and 21st centuries. It demonstrates that despite a number of disturbing parallels, many contemporary practices are not a reversion to the past but unique to the present. The book discloses hybrid security practices with highly ambiguous effects around the sites of contemporary companies that have committed to norms of corporate social and security responsibility. Companies invest in local communities, and offer human rights training to security forces alongside coercive techniques of fortress protection, and stability-oriented clientele practice and arrangements of indirect rule. The book traces this hybridity back to contradictory collective meaning systems that cross borders and structure the perceptions and choices of company managers, private security officers, NGO collaborators and others practitioners. The book argues that hybrid security practices are not the result of an encounter between a supposed ‘local’ with the liberal ‘global’. Instead, this hybridity is inherent in the transnational and part and parcel of liberal transnational governance. Therefore, more critical reflection of global governance in practice is required. These issues are sharply pertinent to liberal peacebuilding as well as global governance more broadly. The term transnational governance designates untraditional types of international and regional collaboration among both public and private actors. These legally-structured or less formal arrangements link economic, scientific and technological spheres with political and legal processes. They are challenging the type of governance which constitutional states were supposed to represent and ensure. They also provoke old questions: Who bears the responsibility for governance without a government? Can accountability be ensured? The term 'constitutionalism' is still widely identified with statal form of democratic governance. The book refers to this term as a yardstick to which then contributors feel committed even where they plead for a reconceptualisation of constitutionalism or a discussion of its functional equivalents.
